A Management Board of a Family Foundation Under the Polish Law – Role, Competences and Civil Liability

The article addresses the legal position and responsibilities of the management board of a family foundation, a legal entity introduced into Polish law by the Family Foundations Act of 2023. It presents a comprehensive overview of the board’s competences, including asset management, beneficiary relations, and oversight of the foundation’s financial stability. A central focus is placed on the standards of diligence and loyalty required of board mem-bers, as well as the rules governing their internal civil liability. The paper also considers procedural aspects such as board member appointments, terms of office, and representa-tion rules. Emphasis is placed on the practical significance of these regulations for ensuring transparent and effective governance of family wealth. The study is grounded in a dogmatic legal analysis and seeks to contribute both to academic discourse and the development of best practices in managing family foundations.
