This research is based on share ownership which gives the holder special rights in a Public Company and the practice of appointing management of PT Bank Mandiri (Persero) Tbk which has not maximized the role of the Nomination and Remuneration Committee to review and propose candidates for management who meet the requirements. Therefore, this research aims to: (i) to find out how the appointment of management was carried out at the GMS of PT Bank Mandiri (Persero) Tbk on March 7 2024; and (ii) to find out how the appointment of management at the GMS of PT Bank Mandiri (Persero) Tbk is carried out which provides legal protection for minority shareholders. The type of research is normative juridical with a ststute approach and a case study approach. The results of this research indicate that: (i) Bank Mandiri has not paid attention to the interests of all shareholders based on the principles of transparency, equality and fairness; and (ii) The implementation of the appointment of management that provides legal protection for minority shareholders at the GMS of PT Bank Mandiri (Persero) Tbk is by implementing good corporate governance. Bank Mandiri must also implement preventive legal protection efforts for shareholders, by implementing the provisions regulated by the regulator.
