The agency of the commercial franchisor is one of the most important and unlimited investment mechanisms in the modern era, as it receives great attention at the international and domestic levels, by regulating its terms and conditions, requirements and procedures for obtaining it and all matters related to it, because it leads to advancing economic development, and thus the prosperity of industry and international trade. Increasing the volume of production and consumption by expanding its circle of activity and saving the agent’s effort and time through the use of the trade name and the fame of the donor. At the internal level, it is noted that there is a clear deficiency at the level of regulation and legislation. The franchisee’s agency is still suffering from legislative deficiency. And even the absence of its regulation in the Kurdistan Region - Iraq, as the Iraqi Commercial Agency Regulation Law No. (51) of 2000 - repealed in Iraq and in force in the Kurdistan Region - Iraq - did not refer to the agency of the commercial franchise holder, and despite the fact that the Iraqi Commercial Agency Regulation Law No. (79) of 2017 in force referred to the franchisor’s agency as a type of commercial agency, and then explained its definition in the instructions to facilitate the implementation of the Law Regulating Commercial Agency No. (1) of 2020 issued by the Iraqi Ministry of Commerce,
