In light of the many factors involved in the commercial environment, we find that commercial legislation, even if it is characterized by the highest levels of regulation, cannot be isolated from those external factors that affect that environment and control its effectiveness. Therefore, we find that these legislations in some cases create confusion and anxiety in that environment instead of Organizing it deviates from its role and purpose for which it was established, which is to enhance stability and develop credit in it. The study examines those challenges and solutions that can be adopted in this regard. The problem of the study can be defined by highlighting the challenges facing the Iraqi institutional investor within the commercial environment in which he invests, taking into consideration what reality indicates, which is that investment in recent times is exposed to many different risks that he must overcome in order to be able to achieve the desired results. In line with the nature of the subject, the analytical study method will be adopted for the institutional investment approach in Iraq, whether in the retirement system or the care of minors, and the extent of the institutional investor's ability to adhere to the standards of the commercial environment.
