The Legal Regulation of the Listing of Public Shareholding Companies' Shares On the Palestine Securities Exchange: A Descriptive and Analytical Study

Aim: This study focuses on the governing regulations for listing in the Palestine Securities Exchange. It sheds light on the financial market in Palestine and the Palestine Securities Exchange, clarifies the rules of listing, its scope and importance, and the documents required for listing, innovation, and transformation. It also outlines the procedures for issuing and listing shares and highlights the most important challenges. Methodology: The study adopted the descriptive-analytical method, by describing the relevant texts concerning the issue of stock listing on the Palestine Exchange and analysing the provisions contained in the applicable Palestinian legislation. Key Findings: The study concluded that public shareholding companies are legally obligated to list their shares on the Palestine Stock Exchange. Companies that have not listed their shares are required to rectify their status, failing which the competent authorities may take legal action for non-compliance. The Capital Market Authority has the legal authority to convene an extraordinary general assembly to resolve the issue of listing. At the regulatory level, the Innovation and Transformation Center is considered a pivotal mechanism influencing the practical operations of the Palestine Stock Exchange. Main Recommendations: The study recommended amending national legislation, defining the legal status of the Palestine Securities Exchange in the laws, adopting non-mandatory listing, separating the Innovation and Transformation Center, aligning with the provisions of legislation and governance requirements, and activating the role of the authority in exercising its oversight over the listing of public shareholding companies in the Palestine Exchange. الهدف: هدفت الدراسة إلى بيان الأحكام القانونية الناظمة لإدراج أسهم الشركات المساهمة العامة في سوق فلسطين للأوراق المالية، فإدراج تلك الأسهم مسألة غاية في الأهمية، فهي البداية لتداولها في السوق المالي، وقد بينت الدراسة أحكام سوق فلسطين للأوراق المالية "بورصة فلسطين، وشخصيته القانونية وتبعية مركز الإيداع والتحويل، كما عالجت أحكام الإدراج وشروطه والزاميته في فلسطين والوثائق اللازمة مع طلب الإدراج. المنهجية: تبنت الدراسة المنهج الوصفي التحليلي، من خلال وصف النصوص الناظمة لمسألة إدراج الأسهم في بورصة فلسطين وتحليل أحكامها الواردة في التشريعات الفلسطينية السارية لا سيما قانون الأوراق المالية رقم (12) لسنة (2004) والتعليمات الصادرة بمقتضاه وخاصة التعليمات رقم (4) لسنة (2008) بشأن إلزام الشركات العامة بالإدراج وتعليمات إصدار الأوراق المالية رقم (5) لسنة (2008)، ونظام الإدراج المعدل لسنة (2016). النتائج: أهم ما توصلت الدراسة إليه أن الشركات المساهمة العامة ملزمة بإدراج أسهمها في بورصة فلسطين، والشركات التي لم تدرج أسهمها عليها تصويب أوضاعها تحت طائلة اتخاذ إجراءات بحقها في حال عدم الإدراج، وأن هيئة سوق رأس المال لها صلاحيات بالدعوة لاجتماع هيئة عامة غير عادي لإقرار الإدراج، وعلى المستوى التنظيمي فإن مركز الإيداع والتحويل يعد من دوائر بورصة فلسطين في الواقع العملي. التوصيات: أوصت الدراسة بتعديل بعض النصوص القانونية في فلسطين محل الدراسة، وتحديد الشكل القانوني لبورصة فلسطين في التشريعات، وتبني عدم الإلزامية في الإدراج، وفصل مركز الإيداع والتحويل عن البورصة استجابة لأحكام التشريعات ومتطلبات الحوكمة، وتفعيل دور هيئة سوق رأس المال في ممارسة دورها الرقابي على إدراج الشركات المساهمة العامة في بورصة فلسطين.
