Legal Implications of the Division of Companies “In Light of Decision-Law No. (42) of 2021 Regarding Palestinian Companies”

Objective: This research aims to demonstrate the impact of the company's division on the contracts concluded by the company before the division, especially contracts related to its financial liability, in addition to the legal basis for the continuation or rejection of those contracts, whether with regard to assets or liabilities that were transferred in accordance with the provisions of the law. The research problem, which is represented by the legal effects of the division of companies under Decree-Law No. (42) of 2021 regarding the new Palestinian Companies Law, focused on the fact that the division leads to the transfer of the company’s obligations, assets and contracts to the new companies, which causes the original company to end without liquidation. The study also addresses the fate of contracts concluded before the split, particularly employment contracts and rental contracts, given their importance and the legal challenges posed by this process. Methodology: The research relied on the analytical approach, reviewing Palestinian, French, Egyptian, Saudi, and Moroccan laws, in addition to other laws that support the subject of the study. Results: The research concluded with several results, including: that the division of companies is limited to joint-stock companies and limited liability companies according to Palestinian law. Recommendations: The researchers recommend the necessity of requiring the similarity and integration of the objectives of the divided companies and those benefiting from the division, as is the case in Egyptian law, and also allowing the division of branches and agencies of foreign companies operating in Palestine into existing or new Palestinian companies. الهدف: يهدف هذا البحث إلى بيان أثر انقسام الشركات على العقود التي أبرمتها الشركة قبل الانقسام، وخصوصاً العقود المرتبطة بذمتها المالية، بالإضافة إلى الأساس القانوني لإستمرار تلك العقود أو رفضها، سواء فيما يتعلق بأصول أو بالخصوم التي انتقلت وفقاً لأحكام القانون. الاشكالية: ركزت الاشكالية على الآثار القانونية لانقسام الشركات بموجب القرار بقانون رقم (42) لسنة 2021م بشأن قانون الشركات الفلسطيني الجديد، وأن الإنقسام يؤدي إلى انتقال التزامات الشركة وأصولها وعقودها إلى الشركات الجديدة، مما يتسبب في انتهاء الشركة الأصلية دون تصفية. كما تتناول البحث مصير العقود المبرمة قبل الانقسام، خاصة عقود العمل وعقود الإيجار نظرًا لأهميتها والتحديات القانونية التي تطرحها هذه العملية. المنهج: اعتمد البحث على المنهج التحليلي بتحليل النصوص خاصة القوانين الفلسطينية مقارنةً بقوانين أخرى تدعم موضوع الدراسة. النتائج: خلص البحث إلى نتائج عدة منها: أن انقسام الشركات يقتصر على شركات المساهمة والشركات ذات المسؤولية المحدودة وفقاً للقانون الفلسطيني، التوصيات: يوصي الباحثان بضرورة اشتراط تشابه وتكامل أهداف الشركات المنقسمة والمستفيدة من الانقسام، كما هو الحال في القانون المصري، وأيضًا السماح بانقسام فروع ووكالات الشركات الأجنبية العاملة في فلسطين إلى شركات فلسطينية قائمة أو جديدة.
