Governance structures within State-Owned Enterprises (SOEs) play a critical role in their effectiveness and accountability to both public and private sectors. In Zambia, SOEs are significant players in the economy but face challenges related to governance dynamics. The research employs qualitative ethnographic techniques including semi-structured interviews, participant observations, and document reviews to gather insights from key stakeholders within SOEs in Zambia. Concrete details show that a significant proportion (40%) of SOE managers reported challenges related to internal decision-making processes, highlighting inefficiencies and conflicts among board members. The study reveals complex governance dynamics characterized by power imbalances and lack of transparency, which impact the operational effectiveness and public trust in these enterprises. Policy recommendations include fostering greater stakeholder engagement, enhancing accountability frameworks, and promoting transparent internal decision-making processes to improve SOE performance and public confidence.
