Corporate governance has become one of the most important determinants of organizational success in the modern business environment. Effective governance practices enhance transparency, accountability, ethical decision-making and stakeholder confidence, thereby contributing to sustainable financial performance. Following regulatory reforms introduced by the Securities and Exchange Board of India (SEBI) and the Companies Act, 2013, Indian listed companies have strengthened their governance frameworks through independent boards, audit committees, improved disclosures and enhanced shareholder protection. The present study examines the relationship between corporate governance practices and the financial performance of selected Indian listed companies during the period FY2021–FY2025. The study evaluates governance variables such as board size, board independence, audit committee effectiveness, promoter shareholding and institutional ownership against financial performance indicators including Return on Assets (ROA), Return on Equity (ROE), Earnings per Share (EPS), Net Profit Margin (NPM) and Debt–Equity Ratio. The research adopts a descriptive and analytical design based entirely on secondary data collected from annual reports, SEBI disclosures, stock exchange filings and authenticated financial databases. Trend analysis, ratio analysis, descriptive statistics and correlation analysis are employed to examine the association between governance mechanisms and corporate performance. The findings indicate that companies with stronger governance structures generally demonstrate better profitability, improved operational efficiency, stronger investor confidence and enhanced long-term financial sustainability. The study concludes that effective corporate governance serves as a strategic driver of financial performance and value creation in Indian listed companies.
