The article examines the role of corporate governance in the development and implementation of enterprise risk management strategies amid growing uncertainty and increasing financial, operational, market, and security threats. The relevance of integrating risk management into the corporate governance system is substantiated, with particular emphasis on aligning risk management practices with strategic objectives, corporate oversight, internal control mechanisms, and reporting procedures. The study systematizes the principal stages of the risk management process, including risk identification, assessment, prioritization, response planning, monitoring, and review, as well as the main strategies for responding to identified risks. Particular attention is paid to the role of corporate governance bodies in ensuring the timely identification of potential threats, evaluating their possible impact on enterprise performance, and supporting well-grounded management decisions. A structural and logical model of corporate governance in risk management is proposed. The model integrates strategic management, corporate control, and a cyclical risk management process, thereby establishing a coherent framework for coordinating strategic priorities with risk assessment and response activities. It emphasizes the importance of continuous monitoring, feedback, and the adjustment of management measures in response to changes in the internal and external business environment. The practical significance of the proposed model is determined in terms of strengthening enterprise resilience, improving the quality of managerial decision-making, and enhancing the overall effectiveness of enterprise management. The findings highlight that effective corporate governance creates the organizational conditions necessary for systematic risk oversight, greater transparency, accountability, and the timely implementation of appropriate risk response measures. The proposed approach can be applied to improve corporate governance practices and develop more adaptive risk management systems capable of supporting enterprise stability and sustainable development under conditions of uncertainty.
