Assignment of a Member’s Shares in a Limited Liability Company: A Comparative Study between Palestinian and Jordanian Legislation

objective: This study aimed to clarify the legal provisions governing the transfer of shares in a Limited Liability Company (LLC), and to examine how Decree-Law No. (42) of 2021 in Palestine and the Jordanian Companies Law No. (22) of 1997 regulate the issue of share transfer, the restrictions imposed on it, and the rights granted to partners in this regard. Through a comparative analysis of both legal frameworks, the study examines the emerging regulation of Limited Liability Companies in Palestinian law, as set forth in Decree-Law No. (42) of 2021, in relation to the Jordanian Companies Law. Particular attention is given to the legal mechanisms governing the transfer of shares and the corresponding rights conferred upon the partners. This study seeks to shed light on the central issue of whether the legal regulation of a partner’s share transfer in an LLC is sufficient and comprehensive Methodology: To answer the research question, the study adopted a descriptive, analytical, and comparative methodology by analyzing the provisions of the Decree-Law on Companies and comparing them with the provisions of the Jordanian Companies Law Findings: The study concluded that the legislative framework lacks specific legal provisions addressing the issue of share transfer and its resulting legal effects, particularly in relation to the right of pre-emption granted to the company’s partners Recommendations: The study recommended that the Palestinian legislator urgently address the need to introduce new legal provisions that regulate the transfer of shares and the restrictions imposed thereon, emphasizing that the right of pre-emption granted to existing partners within the company should not be limited to voluntary transfers only, but should also apply in cases of compulsory execution on a partner’s shares الهدف: هدفت هذه الدراسة إلى توضيح أحكام التنازل عن الحصص في الشركة ذات المسؤولية المحدودة، وبيان كيفية تنظيم القرار بقانون رقم (42) لسنة 2021، وقانون الشركات الأردني رقم (22) لسنة 1997، لمسألة التنازل عن الحصص والقيود الواردة عليه، والحقوق المُقرّة للشركاء إزاء هذا التنازل، من خلال تحليل ومقارنة أحكام كلا القانونين، وتكمن أهمية موضوع الدراسة في بحث موضوع مستجد في التشريع الفلسطيني، وهو الشركة ذات المسؤولية المحدودة، بحسب القرار بقانون رقم (42) لسنة 2021، بالمقارنة مع قانون الشركات الأردني، والتركيز على الضوابط المصاحبة لعملية التنازل، والحقوق المنبثقة عنها لصالح الشركاء، جاءت هذه الدراسة لتسليط الضوء على إشكالية تتمثل في مدى كفاية التنظيم القانوني لعملية تنازل الشريك عن حصصه في الشركة ذات المسؤولية المحدودة، المنهج: وللإجابة على إشكالية الدراسة، تم اتباع المنهج الوصفي التحليلي المقارن، من خلال تحليل نصوص مواد القرار بقانون بشأن الشركات، ومقارنتها بنصوص مواد قانون الشركات الأردني، النتائج: توصلت هذه الدراسة إلى أن الاطار التشريعي يفتقر إلى نصوص قانونية تعالج مسألة التنازل عن الحصص وما يترتب عليها من آثار وخاصة في نطاق حق الأولوية المقرر للأعضاء داخل الشركة، التوصيات: أوصت هذه الدراسة المشرع الفلسطيني إلى أن هناك حاجة ملحة من أجل النص على ضرورة إفراد نصوص جديدة تعالج مسألة التنازل عن الحصص والقيود الواردة عليها ومنها ضرورة النص على أن حق الأولوية الذي يتمتع به الأعضاء داخل الشركة لا يقتصر فقط على التنازل الاختياري بل يشمل أيضا حالة التنفيذ الجبري على حصص العضو.
