Early-stage venture failure is often attributed to market misjudgement, weak execution, insufficient capital, or product-market mismatch. This conceptual paper argues that such explanations may overlook a relational and interpretive source of fragility: the invisible influence through which early-stage investors shape how founders understand the venture itself. In Pre-Seed and Seed contexts, limited reality-testing means that due diligence can structure uncertainty but cannot eliminate ambiguity. Business Angels therefore do not only provide capital, advice, mentoring, or governance; their questions, expectations, conditions, and experience-based interpretations may shape the venture’s Deutung. The paper introduces the Deutung–Verständigung Model of the Invisible Cap Table. The model proposes that unmanaged investor influence may lead to superficial founder adaptation, apparent alignment, and hidden fragility. Alternatively, when investors act as a resonance space rather than a steering authority, their influence may support Verständigung: a learning loop through which clarified assumptions return to Deutung, strengthening leadership capability under uncertainty and orientation around a third reference.
