This monograph establishes a rigorous legal, financial, thermodynamic, and hardware-architectural analysis of the structural shockwaves triggered by the final judicial resolution of Arm Ltd. v. Qualcomm Inc. and Nuvia, Inc. in the United States District Court for the District of Delaware. Following the unanimous jury verdict in December 2024 and U.S. District Judge Maryellen Noreika's September 30, 2025 grant of Judgment as a Matter of Law (JMOL) dismissing all remaining Arm claims and denying a retrial, Arm's attempt to weaponize Architecture License Agreements (ALAs) against corporate M&A and enforce retroactive royalty escalations has been legally invalidated. With Qualcomm's March 2026 countersuit for breach of contract and tortious interference impending, the proprietary Instruction Set Architecture (ISA) monopoly premium is undergoing irreversible compression. First, we model the acute balance-sheet fragility of SoftBank Group Corp. (SBG), whose record Net Asset Value (NAV) of JPY 72.30 trillion as of June 30, 2026 (Q1 FY2026) relies on Arm for JPY 49.91 trillion (approximately 60% of adjusted equity holdings of JPY 83.11 trillion) while supporting USD 11.5 billion in Arm-collateralized margin loans, a USD 40.0 billion bridge loan, and a USD 10.0 billion OpenAI-collateralized margin facility to fund a USD 64.6 billion Artificial Super Intelligence (ASI) commitment. We show how a 5-week equity correction by August 5, 2026 erased JPY 14.0 trillion in pro-forma NAV (down to JPY 58.3 trillion) as Arm's unadjusted contribution fell from JPY 43.4 trillion to JPY 31.1 trillion. Second, we examine the hardware single point of failure (SPOF) across AI data centers (1.5 billion cumulative Arm server cores; NVIDIA Blackwell shifting from 52,000 units in 2025 to 18,000 in 2026 alongside 57,000 Rubin units tightly coupled with Arm-based Grace CPUs) and Bitcoin SHA-256 ASIC mining rigs (Bitmain Antminer, MicroBT Whatsminer), where patent disclosures (US10142098B2, US20180006808A1, US10313108B2, US11250125B2, US10679128B2) prove deep structural reliance on Arm Cortex-A control boards (e.g., AMD/Xilinx Zynq SoCs). Finally, we formulate a deterministic open-standard migration framework integrating RISC-V control planes with RTO P2.0, QFS-zkVM over the 64-bit Goldilocks prime field (Fₚ, p = 2⁶⁴-2³²+1), Q-SAFA, PHOENIX_BRIDGE / PHOENIX_ROUTER, and Human-in-Command (HIC) governance under Delaware Caremark and SEC Rule 15c3-5 standards.
