The multi-decade hegemony of proprietary instruction set architecture (ISA) licensing—epitomized by Arm Ltd.'s whole-chip Average Selling Price (ASP) royalty regime—has reached a terminal structural and thermodynamic boundary. Driven by the exponential capital cost of monolithic System-on-Chip (SoC) fabrication at advanced nodes, the semiconductor industry has pivoted toward heterogeneous silicon disaggregation standardized by the Universal Chiplet Interconnect Express (UCIe) at >= 16 GT/s and the rapid maturation of the open-standard RISC-V ecosystem. Concurrently, cloud-native orchestration (Kubernetes) and large language model (LLM) compilation frameworks have abstracted away underlying CPU instructions, inducing "ISA Invisibility" across hyperscale data centers. While Arm attempts to preserve rent extraction via vertically bundled Arm Compute Subsystems (CSS), this strategy directly collides with hyperscalers' Total Cost of Ownership (TCO) minimization imperatives in gigawatt-scale AI clusters (such as Stargate) and triggers industry-wide defensive coalitions exemplified by the automotive RISC-V consortium Quintauris. Furthermore, the complete judicial defeat of Arm's Architecture License Agreement (ALA) revocation claims against Qualcomm and Nuvia in the U.S. District Court for the District of Delaware (Arm Ltd. v. Qualcomm Inc., Final Judgment September 30, 2025) eliminates legal coercion as a viable retention mechanism, locking Arm into an inescapable game-theoretic double bind. Crucially, this paper proves that Arm's structural obsolescence represents a systemic financial time bomb due to parent company SoftBank Group Corp.'s (SBG) extreme asset-backed balance sheet concentration, where Arm accounts for 53.13 of 83.11 total equity value alongside $11.5 billion in Arm-collateralized margin facilities (adjusted net -3.22). We formalize the non-linear Loan-to-Value (LTV) contagion mechanics under which a realistic 50%–65% multiple compression in Arm equity breaches SBG's 25% policy threshold and 35% emergency ceiling, triggering cascading margin calls, Additional Entitlement clawbacks, and forced fire sales of liquid public holdings (SoftBank Corp., T-Mobile). Finally, we analyze the spillover into Proof-of-Work (PoW) ASIC democratization and "Compute-as-a-Currency" energy arbitrage, and specify a deterministic hardware/cryptographic governance interlock integrating QFS-zkVM over the 64-bit Goldilocks prime field (F_p, p = 2^64 - 2^32 + 1), Q-SAFA, and SEC Rule 15c3-5 / Delaware Caremark compliance gates.
