Theoretical analysis demonstrates that scalable intellectual property finance requires unbacked consensus assets, indicating traditional legal backing creates insurmountable friction.
This paper establishes a fundamental theorem of IP financial engineering: any intellectual property asset that relies on "backing" — whether by patent title, royalty stream, utility right, or any other form of legal claim on IP — is inherently non-scalable. Backing requires title transfer, legal vetting, and corporate consent. Each of these requirements creates a legal friction that grows with every additional asset, making scalable deployment mathematically impossible. The paper systematically examines every viable alternative to unbacked IP assets — IP Backed, IP Linked, Income Stream, Utility, and Hybrid models. All are shown to fail the scalability test because they violate at least one of three fundamental axioms: (1) no title transfer, (2) no corporate consent, and (3) non-security by structural design. The only path that satisfies all three axioms is unbacked market consensus — a class of digital property whose price is determined exclusively by supply and demand on decentralised order books (DEX/AMM), with fixed supply at genesis and no minting, burning, or dilution post-genesis. We formalise this as IP Valuation Finance Assets (IPVFAs). We prove that any attempt to combine backing with scalability must result in one of three outcomes: (i) abandonment of real backing (converging to our model), (ii) abandonment of scalability (converging to failed historical models), or (iii) violation of non-security status (converging to securities regulation). No fourth path exists. CORE THEOREM Theorem (Uniqueness of Unbacked Consensus Model): In the space of financial instruments whose value reference is corporate intellectual property, satisfying the three axioms of scalability — (1) no title transfer, (2) no corporate consent, and (3) non-security by structural design — the only possible solution is an unbacked market consensus model with fixed supply and price determined exclusively by supply and demand on DEX/AMM order books. MATHEMATICAL FRAMEWORK Legacy: MC = TA + MP IP Stock State: MC = TA + IP_visible + MP Where: MC = Market Capitalisation TA = Tangible Assets (audited book value) IP_visible = Visible IP value materialised through spot trading MP = Compressed speculative Market Premium Materialisation Algorithm: IP_visible = P_coin × S P_coin = DEX/AMM spot price (pure supply and demand) S = Fixed supply (constant at genesis; no minting, no burning, no dilution) Intangible Dominance Ratio (IDR): IDR = IP_visible / MC The conservation law MC = TA + IP_visible + MP is invariant. Capital reallocation between IP_visible and MP does not change MC, preserving the integrity of the corporate capital structure while making IP visible and tradeable. LEGAL QUALIFICATION IPVFAs are digital assets — electronic records capable of being subject to exclusive control, as defined under UNIDROIT Principles on Digital Assets and Private Law (Principle 2). They possess the indicia of property (definability, identifiability, transferability, and permanence of record), consistent with: UK Jurisdiction Taskforce Legal Statement on Cryptoassets and Smart Contracts (2019) Singapore International Commercial Court in B2C2 Ltd v Quoine Pte Ltd [2019] SGHC(I) 3 US Internal Revenue Service Notice 2014-21 (property for tax purposes) Howey Test (not a security) and Reves Test (not a debt instrument) Russian Federal Law No. 282-FZ (2026) — classified as digital property (цифровое имущество), not securities, DFAs, or UDRs WIPO-administered international IP conventions (Paris, Berne, PCT, Madrid) — IPVFAs do not create, transfer, or encumber any IP right.
