We show rigorously that a two-dimensional electron in a disordered crystal with spin-orbit interactions or in a magnetic field has exponentially localized states with a dense set of eigenvalues either if the diagonal disorder is large compared to the strength of the spin-orbit coupling or of the magnetic field, or if the energy is near the band edge.
