The article examines the theoretical and methodological foundations for establishing the organizational and managerial framework needed to develop enterprises’ innovation and investment potential in the context of digital transformation. The study substantiates the need for a comprehensive approach to managing innovation and investment potential – one that aligns resource capabilities, organizational mechanisms, managerial competencies, and digital tools. The study synthesizes scientific approaches to defining the essence of innovation and investment potential and clarifies the organizational and managerial support for them. The system comprises six interconnected components: strategic-managerial, organizational-structural, human resource/competency-based, information-digital, investment-coordination, and control-adaptation. The functional purpose of each component is defined, and the necessity for their coordinated interaction is established to ensure the strategic orientation of innovation and investment processes. Factors influencing the differentiation of organizational and managerial support are systematized into three groups: industry-technological, intra-organizational, and external environmental. An organizational and managerial framework for developing the innovation and investment potential of enterprises – specifically tailored for the food industry – is formulated, illustrating the interrelationships among the identified factors, system components, and managerial tools. The proposed approach creates the prerequisites for adapting management mechanisms to enterprises’ technological specifics, resource capabilities, and operational risks, thereby improving performance in innovation and investment activities, technological modernization, the digitalization of business processes, and the development of sustainable competitive advantages.
